The most common contract that I see people not having that they really need is a client contract. Even if you're able to require payment upfront, it is incredibly helpful to have the terms of what you're expected to do written into a contract so that there's no doubt about what you're required to accomplish.
For example, just yesterday I was consulting with someone who writes reports, and a client had written them a letter demanding that they deliver the report immediately. But luckily, they had a contract that we had prepared for them that specified there was no specific deadline for them to deliver the report. So while they acknowledged the report was due, it wasn't due at a particular point in time – which completely changed the dynamic of that client relationship.
Vendor Agreements: Ensuring Reliable Business Operations
There are two other contracts that I usually see people think they don't need, and those are vendor agreements and employee agreements.
For vendor agreements, people often think, "Well, if I'm just paying upon receipt of the service or goods, then why do I need a contract?" However, you want to make sure that those services or goods are delivered at a certain time so that it's convenient for your business operations and schedule.
Employee Agreements: Protecting Your Business Assets
Regarding employee contracts, Florida is an at-will employment state, so we can hire and fire people at will for virtually any reason. However, most companies have procedures, processes, client lists, and all kinds of information that is confidential to their business. They don't want their employees leaving the company, taking all that knowledge, and starting their own competing company or going to work for a competitor.
That's why we need to have employment agreements in place – to make sure that your company's confidential information and trade secrets are properly protected.
